By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Services

PolicyCentral.ai is an AI-driven policy management and access platform designed for large organizations. Our services include, but are not limited to:

• Policy creation, authoring, and content management
• Policy distribution, targeting, and publishing
• Employee portal and mobile access for policy consumption
• AI-powered policy intelligence including search, summaries, translations, and chatbot
• Compliance tracking, read receipts, e-signatures, and acknowledgements
• Analytics, reporting, and dashboards
• Enterprise features including SSO, AD integration, white-labeling, and multi-entity support

3. User Accounts and Access

3.1 Account Registration

Access to certain features of the Platform may require registration or a subscription agreement. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time if we reasonably believe you have violated these Terms, without prior notice or liability.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, software, source code, algorithms, AI models, and design elements — are the exclusive property of WorkApps Product Solutions Pvt. Ltd. and are protected by Indian and international copyright, trademark, patent, and other intellectual property laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose, subject to these Terms.

4.3 Restrictions

You may not:

• Copy, modify, distribute, sell, or lease any part of the Platform
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use the Platform to develop a competing product or service
• Remove or alter any proprietary notices or labels on the Platform
• Use automated tools, bots, or scrapers to access or collect data from the Platform
• Sublicense, resell, or redistribute access to the Platform without written authorization

4.4 Your Content

You retain ownership of any content, policies, or data you upload to the Platform ("Your Content"). By uploading Your Content, you grant us a limited license to host, store, process, and display it solely for the purpose of providing our services to you.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Platform will meet all your specific requirements
• The Platform will be uninterrupted, timely, secure, or error-free
• The results obtained from the use of the Platform will be accurate or reliable
• AI-generated content (summaries, translations, chatbot responses) will be 100% accurate

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKAPPS PRODUCT SOLUTIONS PVT. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, goodwill, or other intangible losses
• Any damages arising from unauthorized access to or alteration of your data
• Any damages resulting from the conduct of any third party on the Platform

Our total aggregate liability for all claims relating to the Platform shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless WorkApps Product Solutions Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform or via email. Your continued use of the Platform after any modifications constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and the Company regarding your use of the Platform, superseding any prior agreements or communications.
